REMINDER: Annual Registrations Due to Georgia Secretary of State April 1, 2021

All entities formed or registered to do business in the State of Georgia must file an annual registration with the Secretary of State (between January 1st and April 1st of each year) in order to remain in good standing. Filing the annual registration generally provides a current record of an entity’s management structure, correct mailing address, and registered agent’s name and address.

Fees

Annual registration fees are $50 for profit corporations, LLCs, and LPs; $30 for nonprofit corporations; and $25 for foreign LLPs. If the amount listed for your entity is more than the stated fees, the total reflects the amount(s) due from the previous year(s) and any applicable late fee(s). If your annual registration and payment are not postmarked by the April 1st deadline, you will be assessed a $25.00 late filing penalty and/or your entity may be administratively dissolved or revoked by the Secretary of State.

Annual registrations not processed online may be filed by mail and require a printed annual registration form and payment with a check, certified bank check, or money order. The completed annual registration forms can be mailed to Office of Secretary of State, Annual Registration Filings, 2 Martin Luther King Jr. Dr., 313 West Tower, Atlanta, GA 30334. A paper form may be printed here. All checks must be preprinted with a complete address in order to be accepted for processing. Counter checks, starter checks, or cash will not be accepted. Failure to adhere to these guidelines will delay your filing or possibly cause the filing to be rejected.

Confirm Accuracy of the Information

Before filing, please confirm whether your entity’s registration is due for the current year. It is extremely important that each entity verify its information prior to filing. Fees paid for filing a registration are nonrefundable. Corrections can only be made by filing another annual registration. Additionally, a person who signs a document he or she knows is false in any material respect with the intent that the document be delivered to the Secretary of State for filing is guilty of a misdemeanor and, if convicted, will be punished by a fine not to exceed $500 (O.C.G.A. § 14-2-129).

If we already provide this service to you, we will continue to do so unless you state otherwise in writing by March 1st of the current year. If we do not already provide this service to you and you wish for us to file your annual registration and/or serve as registered agent, please confirm your preference in writing by March 1st of the current year. Please note that once you “opt in,” we will automatically serve as registered agent and/or file your annual registration consistent with information from prior years unless you state otherwise in writing by March 1st of the current year.
